Company History

Heidi started the firm in 2018 after realizing that the traditional law firm structure is not well-suited to serving her clients.  Law firms universally require target billable hours for each individual lawyer, which drives behavior that prioritizes the firm’s profitability over client service.  Law firms also frequently have compensation structures for lawyers that work to discourage, rather than encourage, collaboration and a team approach to providing legal services to clients.

Heidi also realized that her clients, who tend to be entrepreneurs in technology-focused industries, were different from a majority of her prior law firms’ other clients, who ranged from individuals seeking personal representation to very large corporations, but typically did not include early-stage technology companies.  For a variety of reasons, these differences often made it difficult for Heidi to match her clients’ needs with her colleagues’ skills and interests.

Throughout her practice Heidi has developed relationships with other lawyers and service providers related to the needs of her clients.  Instead of trying to build a full-service law firm with everything in-house, our goal is to address our clients’ needs effectively and efficiently by leveraging Heidi’s broad network.  We have referral relationships, and in some cases lawyers on retainer with our firm, to bring the right advisors to our clients when they need them, and on terms that are much less expensive than going to a big law firm.

Heidi Drivdahl, the Firm’s Founder

Heidi Drivdahl is a corporate and securities lawyer who was a partner at several Seattle law firms before establishing the Law Office of Heidi Drivdahl, PLLC. She provides corporate and securities advice for technology-focused private companies, particularly those in high-technology industries including:

  • Software/Hardware
  • Biotechnology
  • Medical Device
  • Alternative Energy
  • Artificial Intelligence (AI)

She also provides advice to angel and venture investors in connection with their investments in privately held companies and assists venture investors with their funds formation. Heidi is frequently called upon to advise companies or executives in connection with executive employment agreements and equity compensation packages.

Heidi’s practice includes all stages of emerging growth companies’ development, including the formation of entity, founder and shareholder agreements, general commercial contracts, licenses, website privacy compliance, fundraising, employment matters, leases, mergers, acquisitions, and many other issues that come up along the way. Heidi has a deep network of professionals that she routinely calls upon to assist her clients in areas outside her core focus. She has experience in representing companies with international relationships, and those with complex strategic business relationships with larger companies.

In her spare time, Heidi enjoys sailing, cooking for friends and family, and spending time with her husband and her beloved English Cream Golden Retriever, Dalla.

Heidi enjoys working in the fast-paced technology industry, and continues to be amazed and fascinated by her clients’ innovations. She likes to say that she lives vicariously through her clients experiencing the excitement of creating new ideas and building new businesses. Heidi strives to be an important part of each client’s team and to identify and minimize risks and challenges as each business grows.
